01General Provisions and Parties to the Agreement

1.1. Limited Liability Company "AI HUMMER" (OGRN 1267700233228, TIN 9717194229), hereinafter the “Licensor”, offers to enter into this license agreement with an individual having full legal capacity, an individual entrepreneur or a legal entity by way of full and unconditional acceptance of the Offer.

1.2. This Agreement sets out the terms for granting a simple (non-exclusive) license to the AiHummer computer program in the boxed (self-hosted) edition installed on the Licensee's infrastructure.

1.3. The person in whose name the Personal Account is registered and the activation is issued is recognized as the Licensee. If the details of a legal entity or an individual entrepreneur have been saved in the Personal Account before payment, the respective legal entity or individual entrepreneur is recognized as the Licensee. The User of the Personal Account confirms that they have the authority to act on behalf of that person.

1.4. “Consumer” means an individual who uses the Program exclusively for personal, family, household and other needs not related to entrepreneurial or professional activity. “Business User” means a legal entity, an individual entrepreneur, a payer of the professional income tax (self-employed) or an individual who uses the Program in entrepreneurial or professional activity.

1.5. If the actual use is related to generating income, serving customers, internal processes of an organization or professional activity, the Licensee is recognized as a Business User regardless of the category selected in the Personal Account.

1.6. The current version of the Offer is published at https://aihummer.ru/en/legal/offer/. The Licensor retains the versions of the Offer together with the dates of their validity. The version confirmed by the Licensee upon acceptance applies to the paid period.

1.7. The Offer does not apply to the cloud version, custom development, implementation, data migration, training, on-site work, a security audit or a plan priced “on request”, unless the exact price, term and scope of the respective provision are shown in the Personal Account before acceptance.

02Definitions

2.1. “Program” means the AiHummer software, including executable files, supplied modules, interfaces and utility components available within the scope of the Selected Plan.

2.2. “Distribution” means the set of files of the Program to which access is provided via a personal installation link, through the Personal Account or under the offline activation procedure.

2.3. “Instance” means one copy of the Program installed and linked to the Personal Account, with one primary configuration and one primary database.

2.4. “Personal Account” means the Licensor's information system at my.aihummer.ru in which the Licensee selects a plan, confirms the terms, pays for the license, manages activation and receives documents.

2.5. “Plan” means the scope of license rights, quantitative limits, features, channels, term and support established by the Licensor.

2.6. “Selected Plan” means the Plan that the Licensee has selected on the final activation or payment screen. Before acceptance, this screen shows: the name of the Plan; free or paid mode; the term; the total price in roubles (RUB); the number of Instances, tenants and AI Employees; available features and channels; the support level; whether a Trial Period is available; the auto-renewal status and the date of the first or next charge.

2.7. “Community” means a completely free Plan of the boxed version with the restrictions established by Section 5.

2.8. “Trial Period” means free access for 10 consecutive calendar days to the features of a Plan whose final screen expressly states “10 days free”.

03Procedure for Acceptance and Conclusion of the Agreement

3.1. Before acceptance, the Licensee is given the opportunity to read the Offer, save its text and check the parameters of the Selected Plan on the final screen of the Personal Account.

3.2. For Community, acceptance means the combination of two actions: confirmation of having read the Offer by a separate checkbox in the interface, and the first Activation of an Instance or receipt of a personal installation link.

3.3. For the Trial Period, acceptance means the combination of two actions: confirmation of having read the Offer by a separate checkbox, and clicking the button that starts the Trial Period.

3.4. For a paid license, acceptance means the combination of two actions: confirmation of having read the Offer by a separate checkbox, and successful payment of the full price of the first Paid Period. For a Business User, the receipt of funds under an invoice containing the name of the Plan and a reference to the Offer is also recognized as payment.

3.5. The Agreement is deemed concluded: for Community — at the moment of the first Activation; for the Trial Period — at the moment it is started; for a paid license — at the moment of successful payment, but not earlier than the confirmation of the Offer.

3.6. The entry of the login and password, the entry of a one-time code, the clicking of the confirmation button and the account details constitute the Licensee's simple electronic signature. The Licensee shall keep the credentials confidential.

3.7. The Licensor retains the date and time of acceptance, the account identifier, the version of the Offer, the parameters of the Selected Plan, the auto-renewal status and the payment identifier. This information confirms the content of the concluded Agreement and does not constitute a separate annex.

3.8. Acceptance with reservations is not permitted. Text in the purpose of payment, a letter or a request does not amend the Offer.

3.9. A paid add-on feature for a Consumer is enabled only after a separate explicit choice. A pre-ticked checkbox and silence are not recognized as consent to payment.

04Subject Matter of the Agreement and Methods of Use

4.1. The Licensor grants the Licensee a simple (non-exclusive), non-transferable license to use the Program within the scope of the Selected Plan, and the Licensee complies with the established restrictions and pays the license fee, except for Community and the Trial Period.

4.2. The Licensee is entitled to: install and run the Program; store it in the memory of the hardware; configure AI Employees, roles, scenarios, prompts, knowledge bases and integrations; connect documented APIs and connectors; grant Users access for the Licensee's needs; create one archival copy of the Distribution.

4.3. One license applies to one active Instance unless a larger number is indicated on the final screen. The Licensee is entitled to have one inactive backup copy and one test copy that does not receive production traffic and uses the same license limits.

4.4. The Licensee is entitled to use AI Employees to serve its own customers if the Selected Plan permits commercial use and third parties are provided with the result of the Licensee's activities rather than an independent right to operate the Program.

4.5. The license does not include the source code, build tools, the right of distribution, the right to sublicense, the right to rent, the right to resell, the right to create a stand-alone service for third parties or the right to remove mandatory legal notices.

4.6. The territory of the license is the Russian Federation. Hosting an active Instance outside the Russian Federation requires a separate written agreement.

4.7. Rights are granted only to the features, channels, modules and quantitative limits of the Selected Plan. A feature that is absent from the final screen of the plan is not included in the license.

4.8. Installation, infrastructure configuration, migration, training, integration development and server administration are not included in the subject matter of the Agreement.

Community0 roubles (RUB)Personal non-commercial use; familiarization, testing and demonstration within an organization without production operation1 Instance; 1 tenant; no more than 2 AI Employees; Telegram channel; memory and knowledge base; marketplace; AiHummer branding; community support without an SLA
Trial Period0 roubles (RUB) for 10 daysEvaluation of the features of a Plan marked with the words “10 days free”One Trial Period under the rules of Section 6; no SLA; after it ends — paid activation or Community

Enterprise / price “on request”Not determined by this OfferOnly after a separate agreementThe description on the website is an invitation to negotiate until the exact price, term and scope of rights are agreed

5.1. Community is provided without a license fee. For an individual, Community is intended for personal non-commercial use. For an organization or an individual entrepreneur, Community is intended only for evaluation and internal demonstration and is not used in ongoing operational processes, customer service, sales, marketing, support or production.

5.2. Commercial use of the Program is permitted only during an active Paid Period and within the scope of a paid Plan.

5.3. In the absence of a valid paid license, upon its expiry or corruption, or if it is impossible to confirm the Activation, the Instance switches to Community. Existing data and configurations are not deleted; the creation of new objects in excess of the limit and the launch of unavailable features are blocked.

5.4. The composition and price of paid Plans are determined by the parameters shown on the final screen of the Personal Account immediately before acceptance. After acceptance, these parameters do not change until the end of the Paid Period that has been paid for.

5.5. The Licensor is entitled to change the limits of Community or to discontinue providing it after giving notice in the Personal Account and by e-mail no later than 30 calendar days in advance. A change necessary to comply with a regulatory requirement that has entered into force or to remediate a confirmed critical vulnerability takes effect on the date specified in the notice, but not earlier than the publication of the notice.

5.6. If commercial use of Community is detected, the Licensor sends a notice. The Licensee shall, within 5 business days, activate a paid Plan or cease the commercial use. Upon expiry of this period, the Licensor terminates the Activation of the non-compliant Instance.

0610-Day Trial Period

6.1. The Trial Period is provided only for a Plan whose final screen, before the start, expressly states “10 days free”.

6.2. The duration of the Trial Period is exactly 240 consecutive hours. The countdown starts at the date and time shown in the Personal Account after the start button is clicked.

6.3. One Licensee is entitled to receive one Trial Period for one Instance within 12 consecutive months. Re-registration of an account and a change of e-mail address, payment instrument or hardware do not create a right to a new Trial Period.

6.4. Before the start, the Licensee is shown: the Plan; features and limits; the exact end date and time; the price and duration of the first Paid Period; the auto-renewal status; the date of the first charge.

6.5. Transition from the Trial Period to a paid license and recurring charges are permitted only after the Licensee's separate explicit consent to auto-renewal. The consent is recorded by a separate checkbox that is not combined with the confirmation of the Offer.

6.6. If auto-renewal is enabled and the charge is successful, the paid license takes effect at the moment of the charge immediately following the end of the 240 hours. The amount of the charge equals the price shown before the start of the Trial Period, unless the Licensee has confirmed a different price or a different Plan.

6.7. The Licensee is entitled to disable auto-renewal in the Personal Account at any time before the exact end date and time of the Trial Period displayed in the Personal Account. Disabling it stops future charges but retains the Trial Period until the specified end time.

6.8. If auto-renewal is not enabled or the charge has not taken place before the end of the Trial Period, no paid license arises. The Instance automatically switches to Community. Data and configurations are retained on the Licensee's infrastructure; features and objects in excess of the Community limits become unavailable for new actions.

6.9. The Trial Period is intended for evaluating the Program. The Licensee does not use it to make irreversible decisions, to process the only copy of critical data or for a continuous process whose interruption creates a threat to life, health, property or a mandatory deadline.

6.10. Technical support with a guaranteed response time is not provided during the Trial Period.

6.11. The Licensor is entitled to terminate the Trial Period early in the event of circumvention of license restrictions, an attack on the infrastructure, dissemination of the Distribution, use of multiple accounts to obtain repeated trial access or use of the Program for purposes prohibited by Section 13. At the moment of termination, the Instance switches to Community.

07Price, Payment, Auto-Renewal and Change of Plan

7.1. The price of a paid license is indicated in Russian roubles (RUB) on the final screen before payment. For a Consumer, the price shown is the full price and includes mandatory taxes and fees. For a Business User, the VAT status and amount are shown before payment and in the settlement documents.

7.2. Payment is made by way of full prepayment for the Paid Period unless a different schedule is shown on the final screen before acceptance.

7.3. Community and the Trial Period are provided without a license fee. A verification transaction of a payment system that is not credited to the Licensor as payment for the license is not considered a license fee.

7.4. The Paid Period begins at the moment of successful Activation of the paid Plan and ends at the exact date and time displayed in the Personal Account and in the “Settings — License” section.

7.5. Auto-renewal is enabled and disabled by a separate toggle in the Personal Account. If auto-renewal is enabled, the Licensor charges the price of the next period on the date shown in the Personal Account.

7.6. The Licensor gives notice of a change in the price of the next period no later than 10 calendar days before the charge. In the event of a price increase, auto-renewal for a Consumer requires repeated confirmation of the new amount. For a Business User, the absence of confirmation of the new amount terminates auto-renewal at the end of the current period.

7.7. Disabling auto-renewal retains the rights until the end of the paid period and stops subsequent charges. Funds for the remaining part of the current period are not refunded to a Business User, except where the license has not been provided through the fault of the Licensor.

7.8. If payment for the next period has not been received before the end of the current period, a new Paid Period does not begin. At the moment the current period ends, the Instance switches to Community.

7.9. An upgrade of the Plan takes effect after confirmation of the new price and payment of the amount shown before the confirmation. A downgrade of the Plan takes effect from the beginning of the next period. Existing data is not deleted; features and objects in excess of the new limits are blocked for new actions.

7.10. Settlement documents are posted in the Personal Account. The absence of a separate signed certificate does not suspend the granted right of use and does not change the start date of the license.

7.11. The Consumer's rights to a refund, to the elimination of deficiencies and to other remedies are determined by the mandatory rules of the legislation of the Russian Federation. This Agreement does not limit such rights.

08Provision of the Distribution, Activation and Acceptance

8.1. For Community, access to the personal installation link is provided after registration and acceptance are completed. For the Trial Period, Activation is performed after it is started. For a paid license, Activation is performed no later than 1 business day after the payment is received.

8.2. The right of use is deemed granted at the moment when the Plan is displayed as active in the Personal Account or in the “Settings — License” section of the Instance and the Distribution is available to the Licensee.

8.3. If Activation is not completed within the period specified in Clause 8.1, the Licensee submits a request through the Personal Account or to info@aihummer.ru stating the payment and Instance identifiers. The Licensor eliminates the Activation error or refunds the payment within 10 business days after confirmation that it is impossible to provide the license.

8.4. A Business User shall report an inability to download, install or activate the Distribution within 5 business days after access is provided. The absence of such a report does not deprive the Business User of the right to claim a latent Defect that cannot be detected by ordinary inspection.

8.5. Installation and initial configuration are not included in the license fee. If the Licensee has ordered a separate installation service, its subject matter, price, term and acceptance are confirmed separately before payment for such service.

8.6. For an isolated Instance, offline activation is performed according to the Licensor's instructions. An offline activation value is used only for the Instance for which it was issued.

09Infrastructure, Installation and Backup

9.1. The Licensee, at its own expense, provides the server, operating system, database, network, domain, certificates, backup, security tools and access rights that comply with the Documentation.

9.2. Before installation, the Licensee checks the system requirements and compatibility. Operation in an environment not indicated in the Documentation as supported is not recognized as a Defect of the Program.

9.3. The Licensee creates backup copies of the Content at least once every 24 hours in production use and at least once every 7 calendar days in test use. The Licensor does not store a backup copy of a self-hosted Instance.

9.4. The Licensee restricts administrative access, uses unique passwords, enables multi-factor authentication if such a feature is provided by the access tool used, updates the operating system and monitors event logs.

9.5. Transfer of an Instance to another server is performed in accordance with the Documentation and requires re-binding of the license. Simultaneous production operation of the original and the transferred Instances is not permitted.

10Updates and Version Lifecycle

10.1. During an active Paid Period, the Licensee is provided with access to updates released for the features of the Selected Plan. Community receives the updates that the Licensor publishes for the free mode.

10.2. An update does not include a separate new product, a paid module or a feature that was designated before its release as a stand-alone paid option.

10.3. The Licensee decides when to install an update and creates a backup copy before installation. The Licensor is not liable for data loss caused by installation without a backup copy.

10.4. Technical support is provided only for the current stable version of the Program. Before diagnostics begin, the Licensee updates the Instance to the current stable version, unless reproducing the error after the update creates a risk of data loss confirmed by the error log or a system message.

10.5. The Licensor is entitled to withdraw an update, plugin or integration if execution of malicious code, unauthorized access, leakage of keys or a vulnerability with a published CVSS score of 9.0 or higher is detected. The notice is published in the Personal Account on the day of withdrawal.

10.6. The Licensor does not guarantee that compatibility with a Third-Party Service will be maintained after a change in its API, rules or rates. After such a change, the Licensor publishes the status of the integration and, if a decision on adaptation has been made, the planned version of the fix.

11.5. The time for complete elimination of a Defect is not equal to the time of the first response and is determined after reproduction. Pending elimination, the Licensor provides a known workaround if such a workaround exists and has been verified.

12Rights and Obligations of the Licensor

12.1. The Licensor shall provide the Distribution and Activation in accordance with the procedure set out in Section 8.

12.2. The Licensor shall retain the parameters of the Selected Plan and the version of the Offer confirmed upon acceptance.

12.3. The Licensor shall not access conversations, memory, files or other data within a self-hosted Instance without a separate request from the Licensee and temporary access granted for that request.

12.4. The Licensor is entitled to technically monitor the validity of the license and compliance with quantitative limits without access to the substance of the Licensee Content.

12.5. The Licensor is entitled to suspend Activation in the cases and in the manner set out in Section 23.

12.6. The Licensor is entitled to use the Licensee's anonymized suggestions, comments and ideas to develop the Program without paying remuneration and without disclosing confidential information.

13Obligations of the Licensee and Prohibited Use

13.2. The Licensee is not entitled to: circumvent Activation or limits; transfer keys and the Distribution to third parties; reproduce additional production Instances; remove copyright information; decompile or modify the code beyond the actions expressly permitted by a mandatory rule of law; use the Program to develop a competing product by copying protected elements.

13.3. It is prohibited to use the Program for malicious code, unauthorized access, phishing, spam, infringement of the rights of third parties, unlawful data collection, discrimination, deception, dissemination of prohibited information or the commission of a crime.

13.4. The Licensee does not grant the Program credentials and permissions broader than those required for a specific scenario, and enables human confirmation for payments, data deletion, changes of permissions, sending of legally significant messages and other irreversible actions.

13.5. The Licensee shall notify the Licensor of a compromise of a key or of the Personal Account no later than 24 hours after its discovery via info@aihummer.ru and change the compromised credentials.

14Artificial Intelligence Outputs

14.1. AI Outputs are informational and auxiliary in nature. They are generated by probabilistic models and contain errors, incomplete information, fabricated facts, undesirable content or elements that infringe the rights of third parties.

14.2. Before use, sending to a third party, publication, entry in accounting records, making a decision or launching an action, each AI Output is checked by a human authorized by the Licensee.

14.3. The Licensee independently determines whether the use of an AI Output is permissible in medical, legal, financial, HR, educational, industrial and other regulated activities.

14.4. The Licensor is not the author, editor, physician, lawyer, auditor, financial adviser or employer with respect to an AI Output and does not make decisions instead of the Licensee.

14.5. The Licensee is responsible for the instructions, knowledge sources, connected tools, access levels, review and actual use of an AI Output.

15Intellectual Property and Branding

15.1. The exclusive rights to the Program, its architecture, code, interface, Documentation, trademarks and updates belong to the Licensor or to the right holders of the respective components.

15.2. The exclusive rights to the Licensee Content and to the Licensee's own instructions, knowledge bases and configurations created by the Licensee without modifying the code of the Program remain with the Licensee or the respective right holder.

15.3. This Offer does not govern the rights to the result of custom development performed by the Licensor under a separate technical specification. Such rights are determined by a separate agreement before the development begins.

15.4. Community is used with AiHummer branding. Replacing the logo and name with custom ones is permitted only under a Plan with the white-label feature.

15.5. The white-label feature does not grant rights to the Licensor's trademarks. The designation “Powered by Hummer Tech”, information about the right holder and legal notices are retained in all delivery options.

15.6. Open-source components are used under the terms of the respective licenses. Notices about such components are included in the Distribution or the Documentation.

16Third-Party Services and Expenses

16.1. The license does not include the cost of external models, APIs, communications, telephony, messengers, domains, certificates, hardware or cloud infrastructure.

16.2. An agreement with a Third-Party Service is concluded by the Licensee independently. The Licensee checks the rates, data processing terms, server location and restrictions of such service.

16.3. The Licensor is not liable for the unavailability, change of API, blocking of an account, price or result of operation of a Third-Party Service.

16.4. Data is transferred to a Third-Party Service according to the Licensee's settings. The Licensee shall have a legal basis for such transfer and exclude data whose transfer is prohibited.

17Confidentiality

17.1. Non-public technical, commercial and organizational information that is designated as confidential or is obviously of a restricted nature is recognized as confidential.

17.2. The receiving Party uses confidential information only to perform the Agreement and grants access to employees and contractors who need it for a specific task and who are bound by a duty of confidentiality.

17.3. Information is not recognized as confidential if it was lawfully known to the receiving Party before disclosure, became publicly available other than as a result of a breach, was lawfully obtained from a third party or was developed independently.

17.4. Disclosure pursuant to a mandatory demand of a state authority is permitted to the extent of the demand. The receiving Party notifies the other Party within 1 business day after receiving the demand, unless such notice is prohibited by law.

17.5. The duty of confidentiality remains in effect during the term of the Agreement and for 5 years after its termination. For information constituting a trade secret, the duty remains in effect until the established regime is terminated.

18Personal Data and Support Access

18.1. In a self-hosted installation, the Licensee independently determines the purposes and means of processing personal data within the Instance and performs the duties of a personal data operator.

18.2. The Personal Account does not access conversations, memory, files or knowledge bases within the Instance. Registration, contact, contractual, payment and technical information is processed in the Personal Account in accordance with the legislation of the Russian Federation and the published personal data processing policy.

18.3. For online Activation, the Licensor processes the account identifier, the Instance identifier, the name of the Plan, the status and term of the license, the version of the Program, quantitative indicators of the use of license limits, the date and time of communication and the IP address of the network connection. The substance of the Licensee Content is not included in such information.

18.4. Access by an employee of the Licensor to the Instance is granted only upon a registered request from the Licensee. The request specifies the purpose, the access period, the permitted actions, the data categories and the contact details of the responsible person.

18.5. When accessing personal data, the Licensor processes such data solely for the diagnostics under the said request, maintains confidentiality, limits the range of employees granted access, uses a secure channel and logs the access.

18.6. Temporary access terminates at the moment the request is closed. Diagnostic copies are deleted no later than 10 business days after closure, and backup copies of the diagnostic environment — no later than 30 calendar days.

18.7. The Licensor notifies the Licensee of a confirmed personal data incident no later than 12 hours after its discovery and provides the information known at that time about the nature of the incident, the data affected and the measures taken.

18.8. Before granting access, the Licensee removes passwords, keys, payment details and data unrelated to the request, and ensures a lawful basis for the transfer of data.

18.9. Cross-border transfer through a connected external model or integration is carried out at the Licensee's decision. Before enabling the integration, the Licensee fulfills the requirements applicable to such transfer.

19Verification of License Compliance

19.1. Technical monitoring of the license is limited to the information specified in Clause 18.3 and does not give the Licensor access to the Licensee Content.

19.2. In the event of a confirmed discrepancy between the paid license and the actual number of active Instances, tenants or AI Employees, the Licensor sends a report with specific figures.

19.3. The Licensee shall, within 5 business days after receiving the report, reduce its use to the paid limit or pay for an upgrade of the Plan.

19.4. For a Business User, the Licensor is entitled, once every 12 months, to request a machine-generated report from the “License” section without the Licensee Content. The Licensee provides the report within 10 business days.

20Quality, Defects and Warranty Terms

20.1. A reproducible nonconformity of a paid feature with its description in the Documentation when a supported version and environment are used is recognized as a Defect.

20.2. The following are not recognized as a Defect: a configuration error; insufficient resources; database corruption; modification of code or files; incompatibility with a Third-Party Service; violation of the Documentation; use of an unsupported version; a result of the probabilistic operation of an artificial intelligence model.

20.3. After a Defect is reproduced, the Licensor, at its option, releases a fix, provides a verified workaround or refunds a part of the license fee for the period of confirmed unavailability of the paid feature.

20.4. The Program is provided without a guarantee of error-free and uninterrupted operation, achievement of a specific commercial result, compatibility with an unspecified environment or fitness for a particular purpose of which the Licensor was not notified in writing before payment.

20.5. Clause 20.4 does not limit the mandatory guarantees and rights of the Consumer established by the legislation of the Russian Federation.

21Liability of the Parties

21.1. A Party compensates the other Party for documented actual damage caused by a culpable breach of the Agreement, within the limits established by this Section and the mandatory rules of law.

21.2. For a Business User, the Licensor's aggregate liability with respect to one Instance is limited to the amount of the license fee actually paid for that Instance for the 12 months preceding the event, and, if the term is shorter, to the amount for the actual term.

21.3. For a Business User, the Licensor does not compensate lost profits, loss of anticipated savings, indirect damage, loss of data in the absence of a backup copy or third-party claims caused by Content, settings or an AI Output.

21.7. The Licensor is not liable for the action or inaction of a Third-Party Service, the Licensee's infrastructure or a User.

22Force Majeure Circumstances

23.5. In the event of late payment, a new Paid Period does not arise. A separate notice of termination is not required, since the exact end date is displayed in the Personal Account.
